Job Description

The Corporate Counsel position will partner closely with key stakeholders and executives in sales, product, service, engineering, and finance to find creative solutions to close software and services contracts that comply with AbsenceSoft business and compliance requirements.

In addition, this role will provide general legal advice to members of our team and assist with corporate compliance initiatives. This role will partner very closely with AbsenceSoft’s Executive Leadership team on mitigating risks, providing insight on all sale contracts and help support all legal functions within a fast paced and rapidly growing technology company.

What You’ll Do

  • Collaborate with team members to draft, review, and modify contracts with vendors, partners, and customers while mitigating risks in a fast-paced deadline driven environment.

  • Create, maintain, and enforce contracting policies, which will involve obtaining and documenting approvals for non-standard terms, advising leadership on contractual terms and risks, and providing education to teams on contract issues.

  • Use sound judgment to make decisions quickly to facilitate deal execution, while minimizing risk to AbsenceSoft.

  • Assist as needed on other general legal matters as needed.

  • Help manage outside counsel and monitor the Legal inbox.

  • Monitor and advise on legal developments relevant to AbsenceSoft’s business.

  • Participate in a highly compliant environment while assisting to maintain company controls and security within your job role. 

  • Other duties as assigned.

 

What’ll Set You Up for Success


Required Skills:

  • Hold a Juris Doctorate (J.D.) from an accredited US law school.

  • Active State Bar admission.

  • Several years of experience in a law firm, corporate legal or contracts department.

  • Several years of experience drafting, reviewing, and negotiating B2B contracts including complex commercial, software, professional services, consulting, vendor, data processing or affiliate agreements.

  • Expert understanding of B2B SaaS contracts required.

  • Expert understanding data privacy and security issues and experience drafting and negotiating data privacy and data security terms required.

  • Intellectual property, corporate, compliance and/or employment law experience with data privacy, mergers & acquisitions are a plus.

  • Excellent interpersonal, verbal, and written communication skills.

  • Excellent contract drafting skills and ability to lead contract negotiations, understanding how to balance key risks and opportunities to reach a mutually acceptable agreement while maintaining professionalism and fostering strong internal and external relationships.

  • Experience working with privately backed growth technology companies.

  • Ability to manage multiple competing priorities in a fast-paced sales environment with a hands-on approach, team-oriented mentality, and a sense of humor.

  • Desire and ability to be a partner and serve as subject matter expert for a broad range of sales and management team members, providing contracting expertise in a professional, positive manner in a fast-paced environment with tight deadlines and turnaround times.

  • Ability to work independently with minimal oversight

  • Proven sound judgment and business sense

  • Must be highly proficient with MS Office (Outlook, Word, Excel, and PowerPoint)

  • Previous experience using CLM software, Ironclad experience a plus.

  • Familiarity with data privacy laws in UK, Europe, US, and Canada a plus.
