We are looking for a hardworking and self-motivated individual with commercial contract management experience, and at least 6 years of experience in global technology companies and/or start-ups to join our growing Legal team in the role of Corporate Counsel – Commercial Contracts. The ideal candidate will have experience in negotiating software agreements with enterprise customers in the financial industry. The candidate must be able to negotiate customer, partner and vendor agreements in both English and Spanish.
You will be keen to develop strong business relationships with each of Sales, Finance and your other internal business clients at BioCatch and maintain a "can-do" approach. You should also have a growth mindset that means you can identify business need and any areas for improvement. You will need to enjoy working within a very fast paced, international and rapidly expanding environment.
You will report to the Chief Legal Officer. Your primary focus will be drafting and negotiating key inbound Commercial Contracts and partner arrangements, focusing mainly on the LATAM region, but also covering other regions.
Responsibilities
- Draft, review, and negotiate master services agreements with enterprise customers and work closely with our Sales organization to close revenue deals.
- Draft, review, and negotiate a wide range of other commercial agreements, including partnership agreements, reseller agreements, vendor agreements and non-disclosure agreements.
- Provide practical counsel to product, engineering, marketing, finance and supply teams on how to comply with contractual requirements.
- Work directly with the external customer legal departments.
- Facilitate and deliver all aspects of the contract process. This includes contracts management application and other business applications, contract generation, non-standard term approval and contract signature and close.
- Collaborate with our attorneys and resources across the globe to assess and handle any risks.
- Maintain and develop contr Located in the US or Europe.act administration such as contract process improvement, and contract management tool maintenance, tracking and reporting.
- Support and take ownership for the completion of the signature process for commercial agreements.
- Engage with compliance and data security and privacy teams as needed.
- Take a continuous improvement view of our Legal team and the business. In particular, identify amendments to templates and new templates or clauses as required.
- Assist our business with other legal projects as needed.
Requirements
- Good standing license to practice law, preferably in a common law jurisdiction.
- At least six (6) years of contract management and complex negotiation in a major law firm or in-house legal department.
- Excellent project management and recordkeeping skills. Passion for partnering with Sales and closing revenue deals.
- An ability to translate between business and technical risk and communicate clearly to business and technical constituencies.
- Ability to take the initiative, make key decisions and work both independently and within the team. You will prioritize and balance multiple tasks in our dynamic, evolving legal and technology environment.
- Excellent communication and negotiation skills, and ability to interact and build trust across all levels of our business.
- Strong business sense with a strategic outlook and an interest in working in a high volume, dynamic and friendly team.
- Fluency in English and Spanish (both written and oral).
- General familiarity with various Data Privacy regulations globally.
