Mission

Calm’s content library and the languages in which such content is offered are expanding along with the growing number of high quality opportunities to gain brand exposure. Thus, the corresponding number of contracts is climbing and the nature of the branding relationships is growing more complex.

Copyright, trademark and rights of publicity underlie those contracts, so experience with these legal issues is crucial. Relationships that require Calm content to be distributed elsewhere (other than the Calm Platform) would benefit from experience with a variety of distribution and publication platforms/channels.

Responsibilities may include: drafting and negotiating a range of commercial agreements (e.g. talent agreements, media buying agreements, services agreements, promotion agreements, licensing agreements, settlement agreements etc.); advising on local laws and regulations (e.g. marketing/advertising, intellectual property, privacy/data protection, broadcasting/media etc.); providing advice on creative concepts, copy and activations; advising on and helping navigate rights management; assisting with contentious and regulatory matters; providing legal training to business partners; and creating precedents and toolkits. 

About the Role

We’re looking for a hard-working, self-starter to serve as our first in-house Marketing Business & Legal Affairs Counsel reporting to the Head of Content Business & Legal Affairs to help build and scale our growing Legal team. A successful candidate will work with our Marketing, PR, Social, Partnerships and Brand Studio Teams to structure, negotiate and draft agreements required to support our growing slate of original and licensed audio content, including agency agreements, production related agreements, partnership agreements and co-promotional collaboration agreements.  Additionally you would work cross-functionally to advise on rights and restrictions, conduct campaign activation and creative review. 

You’ll be responsible for maintaining and developing new template agreements to stay current on new models to ensure that the templates, current and future agreements include the ideal provisions to meet the business’ minimum requirements as well as consult with decision-makers to inform their business strategy decisions. You will assist with and advise on deal structures and negotiations.

 

Outcomes 

  • Draft, review and negotiate a range of commercial agreements (e.g. talent agreements, media buying agreements, services agreements, promotion agreements, licensing agreements, settlement agreements etc.); advising on local laws and regulations (e.g. marketing/advertising, intellectual property, privacy/data protection, broadcasting/media etc.); providing advice on creative concepts, copy and activations; advising on and helping navigate rights management; assisting with contentious and regulatory matters; providing legal training to business partners; and creating precedents and toolkits 
  • Work with internal teams (Product, Partnerships, Marketing and User Acquisition) to inform future and current legal tactics, template provisions and the legal work queue
  • Support Calm’s legal needs generally

Competencies 

  • An attorney licensed to practice law in California or New York
  • Minimum 5 to 7 years of combined strong and high quality law firm experience and in-house legal experience with deep, working knowledge of entertainment industry legal issues (copyright, trademark, music publishing, publicity rights) and familiarity with software development and app-based and web-based publishing 
  • Substantial experience in negotiating and drafting various marketing and content production related agreements (e.g. non-disclosure agreements, agency master services agreements, statements of work, sponsorship, co-promotional and licensing agreements, talent/influencer agreements, and production-related agreements (e.g., production services agreements, appearance releases, location agreements, materials releases).
  • Experience reviewing and providing guidance on marketing activations, promotions, talent and influencer agreements, creative review, clearance and rights analysis, credit and guild issues, intellectual property and clearance issues associated with marketing materials for all media, including digital and social media.
  • Experience with partnerships (e.g., co-promotions, brand partnerships) and marketing to kids (e.g., familiarity with CARU, COPPA).
  • Understanding of advertising, marketing, media, consumer, intellectual property, sweepstakes/contests and right of publicity laws and regulations
  • Strong negotiation and commercial, partnership, and media contract and licensing skills
  • Track record of leading deal negotiations with ability to incorporate needs of cross-functional stakeholders into a cohesive strategy for deal structure
  • Up-to-date, with the support of Calm’s legal subject matter experts, on U.S. and international laws and regulations dealing with privacy, data security, consumer protection and marketing
  • A highly motivated self-starter who thrives in a fast-paced environment who enjoys being part of multiple teams and can be sensitive to multiple priorities
  • Excellent organization, communication and interpersonal skills

Nice-to-Haves: 

  • Experience and familiarity with industry guilds and labor unions, such as SAG/AFTRA
