We are seeking a proactive and experienced Associate General Counsel for Commercial Matters to manage all legal matters and risks related to Luminar’s commercial business.


The Associate General Counsel for Commercial Matters will be primarily responsible to lead all business transactions, including strategic development of major deals and business agreements, drafting and negotiating contracts, especially with automotive customers and supply chain partners, and other production and non-production vendors and outside parties. Additionally, the Commercial Counsel will manage technology transactions and non-disclosure agreements in conjunction with our IP counsel. The Commercial Counsel will ensure legal compliance regarding domestic and international contracts and support the General Counsel with mergers and acquisitions (M&A) activity, insurance matters, international trade, real estate matters, and corporate governance. Top candidates will be team players with outstanding advocacy, business acumen in automotive or other similar industries, and a proven track record of building teams.



  • Provide accurate and timely counsel in a variety of legal areas such as commercial contracts, corporate law, and, and related regulations
  • Draft, negotiate and advise on a variety of contracts to support all internal departments including business development, executive, engineering, manufacturing, supply chain, finance, facilities, real estate, software, IT, marketing, communications, amendments, contract terminations, modifications, NDAs and consulting agreements
  • Manage all customer and supplier agreements and interface with outside counsel
  • Research and evaluate legal issues, including staying abreast of changing laws and regulations, to keep stakeholders apprised and in compliance
  • Collaborate with key stakeholders to assess risks and offer proactive advice and strategies to address potential legal issues 
  • Support the leadership team and finance department in connection with corporate governance, fundraising, the legal due diligence process, and drafting transaction documentation
  • Deal with complex matters in a fast-paced, quickly changing environment
  • Work with integrity and professional responsibility, maintaining good attention to detail, and build critical relationships with stakeholders both inside and outside the company

Minimum Qualifications

  • JD with at least 10 years of experience as legal counsel in an in-house or law firm environment
  • Experience in inter-company contracts in the automotive industry and supply chain
  • In-depth knowledge and experience in commercial contracts, corporate and trade compliance law with respect to public and private corporations, LLCs, and subsidiaries
  • Sound judgment, maintains the highest levels of professional ethics, proficient understanding of business sensitivities and confidentiality
  • Current, active law license in at least one state (FL or CA is preferred, or ability to practice in those states)
  • Excellent verbal and written communication skills
  • Knowledge of statutes, rules and regulations pertaining to businesses
  • Must be able to speak/read/write English

Preferred Qualifications

  • JD with at least 15 years of experience in the applicable areas of law, including in an in-house legal department
  • Experience  in international trade, including International Traffic in Arms Regulations, and Export Administration Regulations
  • Experience in international trade compliance and technology classifications
  • Experience in high-tech industries
  • Experience managing teams, outside counsel and projects
  • Willing to work in a fast-paced environment, and comfortable with ambiguity
  • Collegial attitude and a growth mindset
  • Exceptional ability to prioritize and execute on critical tasks, in particular after applying a risk-based approach to determine priorities
  • Experience with start-up companies
