Founded in 2009, CE is a Canadian-based clean energy company leading the commercialization of groundbreaking technology that captures CO₂ directly from the atmosphere, and a second technology that synthesizes it into clean, affordable transportation fuels. From a pilot plant in Squamish, B.C., CE has been removing CO₂ from the atmosphere since 2015 and converting it into fuels since 2017.

Job Description

This role is an exciting opportunity to develop your legal practice in the cleantech sector.


Position Scope

The Legal Counsel works with the Senior Director, Legal in providing a broad range of in-house legal services at Carbon Engineering. You interface with multiple internal stakeholders, where you provide accurate and timely advice, accompanied by good business sense and a pragmatic approach to addressing legal issues.  You draft and negotiate agreements with external parties, ensuring the company’s interests are protected, while getting the deal done. Your ability to adapt to changing business needs helps you identify practical legal solutions in a fast-paced environment.



  • Provides legal support to all teams across the organization.
  • Provides legal and contract management support for CE’s Innovation Centre Project and other projects, including; consultant contracts, engineering and construction contracts, RFPs, procurement contracts and purchase orders, change orders, customer offtake contracts, contractor disputes, real estate leases, and other legal matters.
  • Drafts and reviews non-disclosure agreements and negotiates proposed exceptions to standard terms, maintains and updates NDA templates.
  • Provides support in monitoring regulatory compliance matters as it relates to employment, government relations and privacy, and other similar regulatory matters in the jurisdictions in which CE operates or contemplates operating.
  • Assists in the drafting of technical cooperation agreements, licensing agreements with plant development partners, and carbon removal offtake-agreements.
  • Other related projects or duties, as assigned.


  • Education: Law degree from a Canadian or US law school
  • Experience: 3-5 years of experience at a top-tier law firm and/or in-house legal counsel experience.
  • Member in good standing, or eligible to become a member, of the Law Society of British Columbia.
  • Experience and excellent writing skills at drafting legal documents.
  • Ability to identify, research, analyze, and distill legal issues.
  • Team-oriented with strong interpersonal and communication skills.
  • Strong organizational skills and the ability to handle multiple workstreams for multiple internal clients concurrently.
  • Thrive on doing things that have not been done before (explorer mindset) and tackling challenging problems.
  • Experience in any of the following areas is an asset: technology licensing, IP litigation, chemical / infrastructure / natural resources projects and construction, corporate finance, securities, US or UK experience, carbon trading, or merges & acquisitions.
  • Willingness to learn and apply new legal skills.
  • Experience working in an international business environment will be an asset.
  • Self-motivated with a strong work ethic, ability to work with limited supervision and guidance.
  • Demonstrates a committed attitude and works towards common goals with others.
  • Interest in clean-tech, environmental finance, carbon management, climate change.
