Job Description

Winc is looking for a Corporate Counsel to join our Legal team. The Corporate Counsel is responsible for providing a full range of assistance in legal counsel and will provide guidance and leadership regarding corporate governance, public company reporting and compliance, capital markets, and a range of corporate transactions and initiatives. They will work collaboratively with multiple teams throughout the Company to provide timely, high quality legal support to our business partners. They will report directly to the General Counsel. The ideal candidate is someone who has the passion to part of a game changing company and sees this position as a chance to succeed and grow as the company continues to expand.

As Corporate Counsel you will…

    Advise on corporate finance and securities law matters, including SOX compliance and preparing SEC filings
    Be involved in all aspects of the public reporting process, from drafting reports to preparing remarks for investor calls
    Advise on corporate governance and administration at Winc and its subsidiaries, including preparing Board materials and corporate resolutions, managing corporate regulatory filings, administering corporate records and complying with all corporate governance policies
    Monitor and administer contract review approval processes, policies, and contract playbooks
    Draft, review and negotiate documentation for corporate finance transactions, including financings, equity/debt offerings, M&A and joint ventures
    Support M&A transactions and complex strategic initiatives
    Negotiate and draft Company Agreements, including commercial and financial transactions, customer agreements, distribution partner agreements, employment and consulting agreements, and other company agreements
    Design, build and improve upon legal department processes and policies to enhance efficiency, including further development and implementation of contract processes and templates
    Support review and analysis of proposed changes in Federal and state laws and regulations concerning the alcoholic beverage business
    Keep current and advise on the potential impact of new, and proposed, securities law and corporate governance developments, market trends and best practices where Winc operates to ensure continued compliance
    Counsel company on e-commerce, marketing, privacy, and advertising law and regulations
    Work with internal counsel to establish, maintain and protect Winc's global trademark and general IP portfolio.

Position Requirements    

If you’re the ideal candidate, you have….

    J.D. degree
    Member in good standing with at least one state bar (California preferred)
    4+ years of experience as a corporate attorney – at a large law firm, in-house or both
    Experience leading SEC reporting and corporate governance at a public company
    Strong experience with coordination and timely filing of disclosure documentation with the SEC and stock exchanges
    Familiarity with public company accounting, tax and finance processes, terminology, systems and issues, including basic knowledge of financial statements and GAAP accounting preferred
    Outstanding professional judgment and excellent communication and interpersonal skills
    Detail-oriented, business-friendly, and a team player, with an ability to accommodate tight deadlines in an evolving and fast-paced environment
    Pragmatic approach to lawyering with the ability to strike a sensible and practical balance between legal risks and business objectives
    Talented and motivated attorney who excels in a collaborative team-orientated environment
    Ability to dissect and clearly communicate complex legal topics in a simple, actionable mannerSense of humor and positive attitude
