About the role

We’re looking for an exceptional Director of Legal to help us execute on our mission to truly transform the way autism care is provided at scale through research, operations and technology. You will be our first in-house lawyer with significant responsibility to build out the legal function, set legal strategy, establish commercial relationships, set guidance on regulatory and compliance requirements, help oversee corporate governance and serve as a key member of the Springtide’s team. You will have the opportunity to roll up your sleeves and engage on all legal matters that are key to the growth of our business.

Responsibilities

  • Initiate and build Springtide’s legal function. Provide strategic legal advice, execute and create scalable processes to triage legal needs in all areas of the business including commercial transactions, corporate governance, employment & HR, regulatory & compliance and financings.
  • Oversee the negotiation, drafting, reviewing and approval of all company agreements, including agreements with insurance payors, partners, vendors and investors. Provide guidance on contract terms and compliance to internal stakeholders.
  • Provide legal advice and thought leadership to senior management and other company stakeholders to help drive our business objectives.
  • Define and develop corporate policies, procedures and programs.
  • Oversee a compliance function that reviews and handles all state-by-state regulatory requirements and provide updates and guidance internally for compliance and expansion opportunities.
  • Anticipate and identify any changes to existing or proposed regulations or laws and proactively develop effective strategies and solutions to help manage risk/impact to Springtide.
  • Vet, retain, and manage outside counsel and related advisors; develop and manage legal budgets.
  • Develop and refine marketing compliance guidelines and review marketing materials.
  • Work cross-functionally and support key internal stakeholders, including the CEO, Finance, People, Operations, Insurance Operations, Clinical Quality, Expansion and Marketing.

Background and skills

  • JD from a top-tier law school. Member in good standing of the NY or other state bar.
  • 6+ years of post-bar experience: top-tier law firm followed by 3+ years in-house, preferably in healthcare services and/or at an emerging, high-growth company.
  • Experience building and implementing legal and compliance processes.
  • Demonstrated increase in visibility and responsibility during in-house career, including managing legal processes, budgeting and managing external legal advisors.
  • Strong foundation in corporate law with broad experience in transactions (equity and debt financings, M&A), labor law, litigation and regulatory compliance.
  • Experience navigating health care regulatory environments is a plus.
  • Extensive experience in drafting, reviewing and negotiating a wide range of commercial agreements.
  • Proven track record of providing proactive, pragmatic legal counsel to business partners. Ability to anticipate legal issues and risks.
  • Sound judgment, commercial awareness, and financial acumen.
  • Impeccable written, verbal, and presentation skills.
  • Highly organized and able to manage multiple projects and competing priorities comfortably.
  • Question-driven, curious, open minded, and an attentive listener. A lifelong learner.
