Atreca is an integrated biotechnology company located in South San Francisco, California (moving in 2021 to a new campus in San Carlos, CA). We apply our proprietary drug discovery platform to profile clinically relevant, active B cell responses in patients receiving successful treatment and, in turn, develop a portfolio of antibody therapeutics against novel tumor targets with the potential to treat large patient populations. Position Summary
The Senior Corporate Counsel will be responsible for leading the contracting function at Atreca, including managing day-to-day contracting needs, and leading legal operations. This position will report to the General Counsel.
Duties and Responsibilities
- Lead the contracting function, including drafting, reviewing, and negotiating a wide variety of contracts (e.g., MSAs, SOWs, MTAs, CTAs, NDAs, various vendor agreements, consulting agreements, clinical CRO agreements, manufacturing agreements, license agreements, and software licenses)
- Lead contracts process and contracts management system and educate internal clients
- Lead legal operations, including records management program, and support corporate projects as needed
- Take a practical approach to contracting focused on the needs of the business and internal clients
- Work closely with internal clients to identify and articulate contract issues and risks, provide practical advice, become a trusted partner and ensure efficient and effective completion of contracts
- Work closely with the General Counsel to review existing contracts process and contracts management system, and modify and optimize to meet legal and business needs
- Review existing contract templates and implement changes as needed
- Manage contracts management system vendor
- Manage outside counsel
Required Skills and Qualifications
- J.D. from an accredited law school
- Admitted to practice in CA and in good standing
- At least 8 years relevant legal experience, with at least 5 years at a biotechnology or pharmaceutical company, preferably in early-stage development
- Experience managing and optimizing contracts management systems required
- Experience with clinical contracting strongly preferred
- Experience with GDPR and other privacy laws preferred
- Skilled at providing high-quality, timely, and practical legal advice and risk assessments
- Skilled at explaining complex legal issues
- Skilled at advising senior management
- Skilled at managing outside counsel
- Excellent judgment
- Excellent communication, negotiation, presentation, and interpersonal skills
- Excellent organizational and project-management skills
