About the Role
Our legal is a tight-knit, collaborative group responsible for supporting all teams throughout the organization to ensure they have the resources they need to be successful while likewise protecting WalkMe’s core values and interests. In our work together we aim to be smart, industrious, creative and, above all, collaborative.
We’re looking for a Senior Commercial Counsel to join our legal team. In this role you will report to WalkMe’s VP of Legal and be based in the USA. You will need to be proficient at managing complex commercial transactions, specifically having experience negotiating enterprise-level SaaS agreements. Above all, you will bring a business-oriented, practical mindset to solving problems while delivering legal advice without the legalese. This is a great opportunity to help scale the existing commercial legal team in a mission-driven company and offers exposure to a wide variety of issues.

What You'll Do:

  • Work directly with WalkMe ’s Sales Organization to draft, negotiate and close a variety of commercial agreements to support customer sales. Your primary focus will be on SaaS subscription agreements, software licenses, professional services agreements, data processing agreements, and NDAs.
  • You will team up with and provide practical, decisive guidance to support WalkMe’s fast-paced business needs that balances our goals and legal risk, taking into account company policies and positions.
  • Support the continuous improvement of standard form agreements and legal processes.
  • Stay up-to-date on relevant industry, commercial, open source, IP, privacy, employment, and other laws, regulations, and developments to give the most effective advice.

What You Need to Succeed:

  • 8+ years of experience working as a commercial legal counsel for a fast-growing company, experience with SaaS is a must; of which 4 years must be as an in-house lawyer.
  • Comfortable negotiating data privacy agreements, including a working knowledge of GDPR and CCPA as they relate to commercial contracts.
  • A confident, effective and positive negotiator who can lead the process, focus on important issues and efficiently bring deals to a favorable close.
  • Excellent legal skills, strategic thinking, business acumen, combined with outstanding attention to detail and organizational skills
  • Efficient and creative problem-solver, comfortable with ambiguity, complexity, and nuance comfortable across different audiences and contexts, and able to switch gears appropriately for each.
  • Excellent legal and business judgment with the ability both to assess relevant/material risks quickly and to communicate those risks to business partners in non-legal speak.
  • Collaborative, positive, business-friendly, service-minded; must work independently.
  • JD from an accredited US law school and Bar admission and in good standing in at least one state.
