Solazyme Inc., is a renewable oil production company, and the leader in algal biotechnology. We harness the power of microalgae to renewably produce clean and scalable fuels, chemicals, food oils, and health and wellness materials. We are the only company in the world that has scaled up clean and renewable production of diesel and jet fuel derived from microalgae.

We are currently searching for a seasoned, professional paralegal to join our world class legal team. The ideal candidate will bring the necessary skills and demonstrated experience to:


* Generate agreements from standard approved templates and act as liaison with internal clients to provide information regarding the agreement request process, status of in-progress work and retrieval and copying/scanning of executed agreements from files.
* Review modifications to agreements within defined parameters. Draft routine commercial agreements and related documentation.
* Exercise judgment concerning agreement language within defined procedures and practices to determine appropriate action.
* Understand technical alternatives related to agreement language and their impact/consequence from both a legal and business perspective.
* Communicate effectively with internal clients and external contracting parties.
* Enter agreement information into contracts management database and conduct database searches and generate reports as requested.
* Maintain files on pending matters. Support attorneys in corporate record keeping function by preparing and maintaining corporate resolutions, ensuring compliance with requirements of applicable state agencies and offices, and maintaining corporate minutes and other related corporate records as needed. Work product will be reviewed by in-house attorneys.
* Occasionally perform independent analysis of problems of increasing complexity and diversity and propose solutions to supervising attorney.



RESPONSIBILITIES:

Document Management & Preparation:

* Maintain physical and electronic files for contractual agreements
* Manage contract management software and database
* Responsible for all administrative requirements to execute routine CDAs and MTAs with contractual counterparts.
* Track on-going contractual task-list and status for internal clients.
* Maintain Use Trial documentation and records, including records of participation, signed disclaimer statements and results.
* Maintain regulatory documents and certifications including certifications from vendors, contract manufacturers, GMP sign-offs, Certified Nutritionist reviews, safety and toxicology tests, clinical study results, and certifications/regulatory documents from other 3rd parties.
* Maintain files relating to collaborations/licenses and research reports relating to such collaborations.
* Prepare specified form documents for attorneys.
* Assist in the preparation and review of routine contracts including, but not limited to, NDAs, MTAs and consulting agreements.
* Assist in all legal preparation of corporate documents and governance materials including board books, minutes and transaction binders.
* Assist in preparing documentation as needed for qualifying Solazyme to do business in new jurisdictions, including both foreign and domestic jurisdictions.

Patents/IP:

* Under the supervision of patent attorney, prepare routine patent prosecution documents.
* Obtain signatures for patent prosecution documents (e.g., Assignments, Declarations, Power of Attorney, etc.)
* Assist with special projects including patent/trademark searches.
* Coordinate archiving of laboratory notebooks.

Additional Responsibilities:

* Assist with meeting all legal approval and documentation requirements related to administration of equity compensation programs.
* Assist with compliance requirements of government contracts and legal SEC reporting regulations.
* Assist with special projects on various issues as needed.
* Routine administrative duties.


Education/ Knowledge:

* Experience working with federal government contracts is strongly preferred, including compliance with applicable financial based government rules and regulations, including the FAR and DFARS.
* College degree (or equivalent) required with 7-10 years of solid corporate paralegal experience working in a Legal Department and/or Law Firm. Paralegal certification is also required.
* Computer Skills: Proficient in Microsoft Outlook, Microsoft Word, Microsoft Excel, PowerPoint, and prior experience with database programs (contract or equity).
* Interpersonal Skills: Ability to interact effectively with all levels in the organization as well as with external contacts. Ability to communicate with clarity, tact and diplomacy.
* Communication Skills: Ability to write own business correspondence, edit own and others work and strong oral communication skills. Must possess strong writing and analytical skills to review, draft and prepare documents.
* Strong organizational and project management skills to set work priorities and meet deadlines.
* Additional Comments: Ability to handle job responsibilities with confidence and tact. Ability to predict situations, results of actions and adjust accordingly. Ability to prioritize and juggle many responsibilities at one time. The candidate should be flexible and willing to perform all tasks assigned. A high degree of confidentiality and sound judgment is required.
